Non-Profit Law

Starting a nonprofit is the easy part. Keeping it compliant — and making sure it's structured to actually achieve its mission — is where things get complicated. I've helped organizations of all sizes form, structure, and maintain their tax-exempt status, and I understand both the legal requirements and the practical realities.

What I can help with:

  • Forming and incorporating nonprofit corporations and private foundations

  • Filing for 501(c)(3) and other tax-exempt status with the IRS and individual states

  • Retroactive tax-exempt status for organizations that have already incorporated and begun operations

  • Charitable trusts, including testamentary charitable organizations

  • Joint ventures and contracts between nonprofit and for-profit organizations

  • Bylaws review and amendment

  • Ongoing compliance — sales tax exemptions, reporting requirements, distribution rules

  • Asset disposal upon dissolution

A note on retroactive exemption: If your organization has already started operating without securing tax-exempt status, that's not necessarily a dead end. I've successfully obtained retroactive 501(c)(3) status for organizations in exactly that situation.

Whether you're launching something new or trying to get an existing organization on solid legal footing, I can help you figure out where you stand and what needs to happen next.
